MERGERS & ACQUISITIONS

Advanced Logic Industries, a Blacksburg-based creator of computer networks, plans to purchase Lynchburg-based Framatome Information from Framatome Technologies Group for an undisclosed amount.

American Safety Razor Co., a Staunton manufacturer of shaving equipment, is being purchased by J.W. Childs Equity Partners II L.P., a Boston-based private investment firm, for $173 million.

Ferguson Enterprises Inc., a Newport News-based plumbing products distributor, purchased Dunaway's Wides Pipe and Supply Co. of Cincinnati for an undisclosed amount.

Heyward & Lee Construction Co. of Richmond was purchased by Atlanta-based Beers Construction Co. for an undisclosed amount.

Hilb, Rogal and Hamilton Co., a Glen Allen-based insurance company, purchased Concord, Calif.-based Summit Risk Management Inc. for an undisclosed amount.

Republic Construction Co., a Chesapeake-based construction company, was purchased by GSHH Construction, a division of Atlanta-based Goodman Segar GVA. Terms were not disclosed.


DEALS

American Management Systems, a Fairfax-based information technology company, and San Francisco-based Just in Time Solutions Inc., an Internet billing software company, have entered into an agreement to provide systems integration services to telecommunications, utilities and financial companies. Terms were not disclosed.


NEW PLANTS AND COMPANIES

Employee benefits giant to open Chesapeake center

One of the world's largest management consulting firms is bringing a national employee benefits center to Chesapeake. New York-based Towers Perrin plans to eventually employ more than 1,000 people at the proposed $33 million benefits administration facility. Towers Perrin has similar facilities worldwide. The center would provide consultation on managing employer health and welfare plans, retirement plans and human resources outsourcing.

Eternal Technology Corp., a Taiwan-based electronics manufacturer, plans to open a facility in Chesterfield County. The company plans to invest $20 million and hire up to 100 people.

Netscape Communications Corp. of California, an Internet software and services company, plans to open a Virginia office in Richmond employing about 10 people. Netscape is being acquired by Dulles-based America Online.

Science Applications International Corp., a San Diego-based research and engineering company, plans to locate a facility for advanced research and modernization in Fauquier County, eventually hiring 150 people.


EXPANSIONS

Capital One may become central Virginia's
largest private employer

Falls Church-based Capital One Financial Corp., a spinoff of the old Signet Bank, plans to expand its Virginia work force by 3,000 this year. Most of those new hires -- about 2,360 -- will work in the Richmond-Petersburg region, bringing the company's total employment in the area to more than 8,000. The remainder of the new hires will be in Fredericksburg and Falls Church.

Capital One is one of the nation's top 10 issuers of Visa and MasterCard credit cards. The company attributes the recent work force expansion to extraordinary growth in its customer base. The financial institution also plans to open its first West Coast facility in Seattle, which will eventually employ 500 people.

Coastal Training Technologies Corp., a Virginia Beach-based film and video company, plans to expand its headquarters with a 100,000-square-foot addition and 366 new employees.

Gateway, a South Dakota-based computer manufacturer, plans to expand its Hampton facility in order to keep up with increasing demand. The company plans to hire 1,000 people over three years.


CUTBACKS & CLOSINGS

Crestar Financial Corp., a Richmond-based subsidiary of Atlanta-based SunTrust Banks Inc., plans to eliminate 40 to 50 jobs in the Richmond area as a result of its recent purchase by SunTrust.
